Terms & Conditions of Supply

Payment Terms
Moto Direct work on standard payment terms of LC 60 days unless otherwise agreed prior to orders being placed.
Sub-contracting
Under no circumstances should any Moto Direct orders be sub contracted out to a factory without prior written consent from Moto Direct. Should Moto Direct discover that orders have been sub contracted to another factory without prior approval, Moto Direct reserve the right to cancel the order or reject the goods.
CMT Fabric / Components
Any CMT fabric / components purchased by Moto Direct and supplied to you free of charge remain the property of Moto Direct Ltd. Any stock held at your premises should be stored in the correct manner to avoid any damage to the goods. Your business insurance should cover the stock you are holding on Moto Directs behalf. Should the stock incur any damage or be lost or stolen from your premises, Moto Direct will debit you for the cost of this stock.
Moto Direct Ltd reserve the right to move this stock between suppliers or have it returned to the UK, any charges incurred to do this should be advised to Moto Direct prior to any action being taken.
You will be required to submit a quarterly stock take of the remaining stock you are holding at your premises to Moto Direct Ltd for review.
Late Shipments
Any deviation from the agreed ex-factory date that is specified on the pro forma invoice should be communicated to Moto Direct as early as possible. Â
If any orders are shipped later then the agreed date at no fault of Moto Direct Ltd, you the supplier are to arrange for part or all of the PO to be sent via air freight at your cost. Moto Direct Ltd are aware that air shipment is very costly and will always endeavor to keep these requests to a minimum.
1 – 2 Weeks Late – Part shipment may be required via air at the supplier’s cost.
3 – 4 Weeks Late – Full shipment may be required via air at the supplier’s cost + 5% discount on the invoice cost.
5 – 6 Weeks Late – Full shipment may be required via air at the supplier’s cost + 10% discount on the invoice cost.
Over 6 Weeks Late - Full shipment may be required via air at the supplier’s cost + 15% discount on the invoice cost.
Moto Direct Ltd reserves the right to cancel part or all of an order that is more than four weeks late to the agreed ex-factory date that is specified on the pro forma invoice. Moto Direct Ltd also reserve the right to debit any suppliers the cost of lost profit due to unavailability of stock.
Quality
All goods should match the approved pre-production samples and specifications as agreed with Moto Direct Ltd and should be free from any defects.
Moto Direct Ltd will arrange in line and end of line quality inspections using the internationally accepted AQL method. Details of major and minor faults will be shared with you as well as the pass / fail requirements. Moto Direct Ltd reserve the right to reject shipment of orders until such a time as a satisfactory quality inspection is completed. Under no circumstances should orders be shipped prior to passing a quality inspection without first obtaining written approval from Moto Direct Ltd.
Where it is not possible for Moto Directs QC team to conduct inspections a shipment sample from bulk production will be required for approval prior to shipment. Shipment samples should be sent 10 days prior to the agreed ex fty date listed on the PI to allow Moto Direct enough time to receive, review and comment on the sample without causing delays. Shipment samples should be sent to the following address:
Shipments will not be authorised with our freight forwarders unless shipment samples have been received and approved.
Faulty Stock
If goods are rejected by our QC team at source and are unable to be reworked to a satisfactory quality that Moto Direct Ltd are happy to accept, these goods will be rejected and should be destroyed. Under no circumstances should goods manufactured for Moto Direct Ltd and showing our brand logos be sold on to any other market without first obtaining written consent from Moto Direct Ltd.
Should rejected faulty stock use any CMT materials or components supplied by Moto Direct Ltd we reserve the right to invoice suppliers for this loss.
If any quality issues are found once the goods have arrived at their destination Moto Direct Ltd will inform suppliers ASAP, a resolution to the issue will then need to be decided upon. Where possible Moto Direct Ltd will try to rectify any problems in the most cost effective way providing this does not cause further problems to the Moto Direct Ltd business or brand image.
Suppliers may be required to replace stock, issue a credit to the value of the faulty goods or pay for goods to be fixed in the UK. If goods need to be returned to the country of origin for reprocessing the supplier will be held responsible for covering the cost of all freight incurred.
Where Moto Direct feel that they will be able to clear the faulty stock through “B grade” at a discounted price we will require the supplier to provide us with a credit note for 60% of the value of the faulty stock. Moto Direct reserve the right to adjust the credit percentage depending on key factors such as volume, condition and supplier performance.
Should Moto Direct Ltd carryout any reprocessing to correct faults the costs incurred to do so will be debited back to the supplier, this will include any materials that needed to be purchased, freight and labour cost including the time spent checking stock. Labour for repair / checking stock will be charged at ÂŁ15.00 per hour.
Should the fault cause Moto Direct Ltd to be unable to supply customers with stock which results in cancellation of orders, Moto Direct Ltd reserve the right to debit suppliers the loss of profit on these sales orders.
Warranty Claims
Moto Direct Ltd offer customers a two year manufacturing warranty on all RST, Wolf & Trik Moto branded products and therefore expect all goods supplied to be of a suitable quality to stand up to this.
Moto Direct Ltd understand that some faults will occur and therefore agree to accept a 2% claim rate. Moto Direct Ltd will notify suppliers on a quarterly basis of any warranty claims above 2% and suppliers will be debited the additional value of the warranty claims and repair costs.
In the event that we receive multiple warranty claims and find that this is related to a fault with a production batch which will require us to recall all goods from this production batch Moto Direct Ltd will require for the goods to be either remade FOC or for a full refund to be issued, including the cost of any sub materials, freight and duty incurred on import and any additional costs that may be incurred.
Packing Requirements
The Supplier Manual document you will have been supplied by design outlines the terms and condition regarding packing requirements for all suppliers that Moto Direct Ltd purchase from. Should the following terms and conditions not be met Moto Direct Ltd reserve the right to debit any costs incurred including labour in order to reprocess the shipment.
Barcode information is supplied on all purchase orders, any orders received with incorrect barcodes will incur a debit of $0.50 per garment to cover reprocessing costs.
Factory Code of Conduct
Statement of principles:
Moto Direct Ltd is committed to working in partnership with our suppliers to ensure that minimum labour standards and conditions are strictly adhered to in accordance with the local legal framework.
Standards: Â
Moto Direct Ltd expects all of our suppliers to adopt the following core working practices.
Workers are:
to be paid on or above the minimum wage;
entitled to regular breaks;
entitled to leave and paid holidays;
not forced into working excessive hours or overtime;
given a safe and hygienic working environment;
not children;
not subject to harsh or inhumane treatment.
Compliance:
All factories which Moto Direct Ltd use will have been visited personally by a representative of Moto Direct Ltd. New factories will be visited within 12 months of commencement of production for Moto Direct Ltd.
Moto Direct Ltd requires that all factories produce a written statement of their labour standards and practices to include an annual certificate that they are fully compliant with their internal code.
Where Moto Direct Ltd becomes aware of any potential violation of our factory code of conduct, further action will be taken to independently investigate the allegations and if found to be of substance, we will use all pressure we can to insist the factory to improves the situation. Â If violations continue, despite our best efforts to help, Moto Direct Ltd will withdraw from using the factory.
Moto Direct Ltd buying policy:
In order to assist our suppliers to improve their working practices, Moto Direct Ltd commits to:
lengthening the term of supply for contracts and communicating our medium term needs effectively, so that the factories are better able to plan their production and workforce without over-reliance on short-term labour.
Pay invoices on time and in full according to the agreed payment terms.
